Terms of Service
These terms are an agreement between Zathur, a Wyoming company that operates Caeruz (we, us), and the dealership or other business that creates a Caeruz account (you). By creating an account or using Caeruz, you agree to them. If you accept them for a dealership, you confirm you have authority to bind it.
1. Who may use Caeruz
Caeruz is for businesses. You must be at least 18 years old and able to form a binding contract. The people you invite to your account must also be at least 18, and you are responsible for their use of it.
2. Your account
Give us accurate information and keep it up to date. Keep passwords confidential, and tell us promptly at support@caeruz.com if you think someone has used your account without permission. You decide who in your dealership has access and what their role allows.
3. Your data
You own the information you and your team put into Caeruz, including information about your customers and staff (your data). You give us permission to host, copy, process and display your data only to provide, secure and support Caeruz for you, as described in our Privacy Policy. You are responsible for having the right to put your data into Caeruz and for complying with the laws that apply to it, including laws on privacy, consumer credit and financing, marketing calls and texts, and data security for customer financial information.
4. Your website and connected services
When you give us your dealership's website, you confirm you have the right to import its listings, photos and details into Caeruz. Caeruz can work with services you already use, such as Manheim, IAAI, Facebook Marketplace and Google, through your own accounts. You are responsible for following those services' terms. We are not affiliated with them, and we are not responsible for their availability, content or changes.
5. Acceptable use
Do not use Caeruz to break the law or anyone's rights; send spam or unlawful marketing; upload malware; try to access another dealership's data or bypass security or usage limits; copy, resell or reverse engineer Caeruz; or overload or disrupt it.
6. AI features
Some features use AI to suggest text, read documents or analyse information. AI output can be inaccurate or incomplete. Review it before relying on it, especially for prices, financing or legal decisions. You remain responsible for the decisions you make.
7. Free trial, subscriptions, fees and taxes
New dealership accounts start with a free trial of 60 days. We do not ask for a payment card to start one, and nothing is ever charged automatically when it ends.
We will email the account's administrators before the trial ends. When it ends, the account is locked until a paid subscription is started: nobody in your dealership can use Caeruz until then. We keep your data for 30 days after the trial ends, so you can subscribe and continue where you left off, or ask us for an export. If you have not subscribed by then, we delete it as our Privacy Policy describes.
Subscriptions show their price and billing terms before you choose one, and you will not be charged unless you agree to them. Fees are exclusive of taxes. Refunds are covered by our Refund Policy.
8. Our intellectual property
Caeruz, including its software, design and brand, belongs to us or our licensors. We give you a limited, non-exclusive, non-transferable right to use Caeruz for your business while your account is active. If you send us feedback, we may use it without obligation to you.
9. Availability and changes
We work to keep Caeruz available and secure, but it may sometimes be unavailable, for example for maintenance. We may improve, change or discontinue features. If we remove something material that you rely on, we will tell you in advance when we reasonably can.
10. Ending your account
You can close your account at any time from the Your data page or by emailing support@caeruz.com. We may suspend or close an account that breaks these terms or puts Caeruz or others at risk; where reasonable, we will tell you first and give you a chance to fix the problem. After an account closes, you can ask us for an export of your data for 30 days; after that we delete it as our Privacy Policy describes.
11. Disclaimers
Caeruz is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Market prices, auction data, vehicle history and other third-party information shown in Caeruz come from those third parties and may be inaccurate or out of date.
12. Limitation of liability
To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and each party's total liability arising out of these terms is limited to the greater of the fees you paid us in the 12 months before the claim and US$100. These limits do not apply to a party's fraud, gross negligence or wilful misconduct, or to your payment obligations.
13. Indemnity
You will defend and indemnify us against third-party claims arising from your data, your use of Caeruz in breach of these terms, or your breach of law or of another service's terms.
14. Governing law and disputes
These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Before bringing a claim, each party will try in good faith to resolve the dispute by writing to the other. The state and federal courts located in Wyoming have exclusive jurisdiction, and each party consents to them.
15. Changes to these terms
We may update these terms. If a change is material, we will tell you at least 30 days before it takes effect by email or in Caeruz. Continuing to use Caeruz after that means you accept the new terms; if you don't, you can close your account.
16. General
These terms and the policies they link to are the whole agreement between us about Caeruz. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. You may not transfer these terms without our consent; we may transfer them with the business. Notices to us go to support@caeruz.com.
